1. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the software platform, website, automation systems, artificial intelligence tools, and related services (collectively, the “Services”) provided by Quantum Shift Corp, doing business as Marketero AI (“Marketero AI”, “Company”, “we”, “our”, or “us”).

By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

2. Description of Services

Marketero AI provides a Software-as-a-Service (SaaS) platform that includes marketing automation, AI communication systems, CRM integrations, and messaging automation (SMS, email, and social media). We reserve the right to modify, update, or discontinue any feature of the Services at any time.

3. User Eligibility & Age Restriction

You must be at least 18 years old to create an account or use our Services. By accessing the platform, you represent and warrant that you are at least 18 years of age and have the full capacity to enter into this binding agreement. If you are under 18, you are strictly prohibited from using the Services.

4. Account Registration & Responsibilities

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate information and ensure your use of the platform complies with all applicable local, state, and federal laws.

5. Communications & SMS Policy (Compliance & Disclosure)

By providing your phone number and opting in to Marketero AI communications, you agree to the following:

SMS Use Cases: We use SMS to provide transactional alerts, account updates, multi-factor authentication, and marketing promotions (where explicit consent is given).

Opt-Out Instructions: You can cancel the SMS service at any time. Just text "STOP" to the short code or number from which you received the message. After you send the SMS message "STOP" to us, we will send you an SMS message to confirm that you have been unsubscribed.

Customer Support: If you are experiencing issues with the messaging program, you can reply with the keyword HELP for more assistance, or reach out directly to [email protected].

Message & Data Rates: As always, message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies based on your interaction and subscription settings. If you have any questions about your text plan or data plan, it is best to contact your wireless provider.

Carrier Liability Disclaimer: Carriers (such as T-Mobile, AT&T, Verizon, etc.) are not liable for delayed or undelivered messages.

6. Subscription, Billing & Refunds

Fees: Services are billed on a subscription basis (monthly or annually). Payments are due in advance.

Processing: Payments are handled via third-party providers (e.g., Stripe).

Refund Policy: Unless required by law or stated otherwise in writing, all fees (including subscription and setup fees) are non-refundable. Partial billing periods are not prorated.

7. Acceptable Use Policy

You agree NOT to use the Services to:

Send spam or unsolicited communications.

Violate marketing laws, including but not limited to TCPA, CAN-SPAM, and GDPR.

Distribute illegal, harmful, or fraudulent content.

Reverse engineer the platform or bypass security measures.

Violation of this policy may result in immediate account termination without notice or refund.

8. Intellectual Property

All software, AI algorithms, workflows, and branding associated with Marketero AI are the exclusive property of Quantum Shift Corp. You are granted a limited, non-exclusive license to use the platform for your internal business purposes only.

9. Third-Party Integrations

The platform integrates with third-party providers (Messaging, CRM, Payments). Marketero AI is not responsible for outages, service changes, or policy decisions made by these third parties.

10. Limitation of Liability & No Guarantees

No Guarantees: Marketing outcomes depend on external factors. We do not guarantee specific revenue, lead volume, or business results.

Limitation: To the maximum extent permitted by law, Quantum Shift Corp shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by you to the Company during the previous three (3) months.

11. Indemnification

You agree to indemnify and hold harmless Quantum Shift Corp and its affiliates from any claims, losses, or violations of law arising from your misuse of the Services or unauthorized communications sent through your account.

12. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of North Carolina, United States. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Charlotte, North Carolina.
